1. Acceptance of Terms

By accessing or using PosUp ("the App"), a product of Sabrimex, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

We reserve the right to modify these Terms at any time. Your continued use of the App following any changes constitutes acceptance of the modified Terms.

2. Description of Service

PosUp is a point-of-sale application designed for iOS devices that provides:

• Order management and processing
• Inventory tracking and management
• Customer relationship management
• Sales reporting and analytics
• Staff management with role-based permissions
• Receipt generation and printing
• Cloud synchronization and offline functionality

3. Account Registration

To use PosUp, you must:

• Create an account using valid credentials
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be at least 18 years of age or the legal age in your jurisdiction
• Accept responsibility for all activities under your account

You agree to notify us immediately of any unauthorized use of your account or any other security breach.

4. Subscription and Payments

Failure to pay fees may result in suspension or termination of your access to the App. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods.

5. Acceptable Use

You agree NOT to use PosUp to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the App
• Engage in fraudulent transactions or activities
• Resell, sublicense, or redistribute the App without authorization
• Use the App for any illegal business activities

6. Data and Content

Your Data: You retain ownership of all business data, customer information, and content you enter into PosUp. You grant us a limited license to store, process, and display your data solely for the purpose of providing the service.

Data Accuracy: You are responsible for the accuracy and legality of the data you input. We are not responsible for any errors in your business records, inventory counts, or financial calculations resulting from incorrect data entry.

Backups: While we implement measures to protect your data, you are responsible for maintaining independent backups of critical business information.

7. Intellectual Property

PosUp and all associated intellectual property, including but not limited to software, design, logos, and documentation, are owned by Sabrimex and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the App for your internal business purposes only. This license does not include the right to:

• Modify, adapt, or create derivative works
• Reverse engineer, decompile, or disassemble the App
• Remove or alter any proprietary notices or labels
• Use our trademarks without written permission

8. Third-Party Services

PosUp may integrate with third-party services including:

• Payment processors
• Cloud storage providers (Firebase/Google Cloud)
• Authentication services
• Printing hardware

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or reliability of third-party services.

9. Disclaimer of Warranties

We do not warrant that:

• The App will be uninterrupted, timely, secure, or error-free
• Results obtained from using the App will be accurate or reliable
• The App will meet your specific business requirements
• Any errors in the App will be corrected

10. Limitation of Liability

To the maximum extent permitted by law, Sabrimex and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from service interruptions or data loss
• Damages exceeding the amount paid by you in the 12 months preceding the claim

Some jurisdictions do not allow limitation of liability for certain damages, so some of these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sabrimex and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of PosUp
• Your violation of these Terms
• Your violation of any third-party rights
• Your business operations conducted through the App

12. Termination

By You: You may terminate your account at any time by discontinuing use of the App and contacting us to request account deletion.

By Us: We may suspend or terminate your access to PosUp immediately, without prior notice, if:

• You breach any provision of these Terms
• You fail to pay applicable fees
• We are required to do so by law
• We discontinue the service (with reasonable notice)

Upon termination, your right to use the App ceases immediately. We may retain your data for a reasonable period to comply with legal obligations.

13. Dispute Resolution

Any disputes arising from these Terms or your use of PosUp shall be:

• First attempted to be resolved through informal negotiation
• Subject to binding arbitration if negotiation fails
• Governed by the laws of the jurisdiction where Sabrimex operates

You agree to waive any right to participate in class action lawsuits against Sabrimex.

14. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Sabrimex regarding PosUp.

Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.

Waiver: Failure to enforce any right or provision does not constitute a waiver of that right.

Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
